Tallgrass Capital, Limited Partnership (the “Fund”) is an Illinois limited partnership that engages in securities investment and trading. CW Investment Management, Inc. (the “General Partner”), an Illinois corporation, is the Fund’s general partner and investment manager. Investors whose subscriptions are accepted by the General Partner will become limited partners of the Fund (the “Limited Partners” and together with the General Partner, the “Partners”).
 
The Fund will be treated as a partnership for federal income tax purposes and therefore not subject to federal income taxation. Fund income, gains, losses and expenses will “flow through” to the Partners for tax purposes. A portion of the Fund’s income may consist of unrelated business taxable income, but any such portion is expected to be minor.
